Terms and Conditions

1. Definitions

In these terms and conditions:

• Talistech BV: the company under Belgian law, with registered office at Oudenaardsesteenweg 368, 9420 Erpe-Mere, company number BE1009245408.
• User: any natural person or legal entity using Plantool.
• Service: the online agenda, appointment and booking platform offered through plantool.app.
• Agreement: the user agreement between Talistech BV and the User.

2. Applicability

These terms apply to all users of Plantool. By using the Service, the User expressly and unconditionally accepts these terms.

Talistech BV may amend these terms. Material changes will be communicated by email or through the platform.

3. Account

• For full use, the User creates an account with a valid email address.
• The User is responsible for accurate and complete data.
• The User keeps login credentials confidential.
• Talistech BV offers optional two-factor authentication (2FA).
• Talistech BV may suspend or delete accounts in case of misuse or breach of these terms.

4. Use of the Service

Plantool is intended for managing agendas, appointments and bookings. The User may only use the Service for legitimate purposes and in accordance with applicable law.

The Service may not be used for illegal activity, exceeding plan limits, disrupting operation, hacking, DDoS, scraping, spam, phishing or unwanted communication.

5. Availability

Talistech BV aims to provide a reliable Service, but does not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, incidents or force majeure.

Talistech BV is not liable for damage resulting from temporary unavailability, except in case of intent or gross negligence.

6. Subscriptions and payments

Plantool offers free and paid subscriptions. Prices and features are shown on the website.

Payments are processed through Mollie B.V. Plantool does not store credit card or bank details.

Invoices are made available digitally through a secure link. PDF invoices are not sent and invoices remain available online for at least 6 months.

Subscriptions can be cancelled at any time. Cancellation takes effect at the end of the current paid period; amounts already paid are not refunded.

All prices exclude VAT unless stated otherwise. VAT is calculated based on customer type and country.

7. Intellectual property

All intellectual property rights relating to Plantool, including source code, design, brand name, logos, texts and graphical elements, belong to Talistech BV.

The User receives a non-exclusive, non-transferable and revocable right to use the Service. Copying, reverse engineering or reproducing without written permission is not allowed.

8. Liability

Talistech BV is not liable for indirect damage, consequential damage, lost profit or data loss, except in case of intent or gross negligence.

The total liability of Talistech BV is limited to the amount paid by the User in the twelve months before the damaging event, with a maximum of €1,000.

The User indemnifies Talistech BV against third-party claims arising from the User’s use of the Service.

9. Force majeure

Talistech BV is not required to perform obligations when prevented by circumstances outside its reasonable control, including power outages, internet outages, natural disasters, pandemics, government measures and cyberattacks.

10. Applicable law

These terms and the Agreement are governed exclusively by Belgian law.

Disputes will be submitted to the competent courts of the judicial district of East Flanders, Dendermonde division.

11. Changes

Talistech BV may amend these terms. If the User does not agree with amended terms, the User must stop using the Service and delete the account.

12. Account deletion and retention period

When an account is deleted, it is deactivated. The User has 30 days to log in again and cancel deletion. After that, personal data and related data are permanently deleted, except data that must legally be retained longer.
